Welcome to GoodSpoon

Thanks for using GoodSpoon. GoodSpoon is a sole proprietorship operating in the State of Utah. These Terms of Service ("Terms") govern your access to and use of goodspoon.io and the GoodSpoon AI-powered meal planning application (collectively, the "Service"). By using GoodSpoon, you agree to these Terms. If you don't agree, please don't use our Service.

Who Can Use GoodSpoon

You must be at least 13 years old to use GoodSpoon. If you're under 18, you must have your parent or guardian's permission. By using our Service, you represent that you meet these requirements.

Beta Program Notice

GoodSpoon is currently in pre-launch beta phase. This means:

• Features may change, be added, or removed without notice
• The Service may experience downtime or technical issues
• Your feedback helps us improve (and we appreciate it)
• Beta access may be limited or modified at our discretion

Your Account

If you create an account, you're responsible for:

• Keeping your password secure
• All activity that happens under your account
• Notifying us immediately if your account is compromised

Don't share your account credentials with others. Don't use someone else's account without permission.

Acceptable Use

You're free to use GoodSpoon for its intended purpose—meal planning and related features. However, you agree NOT to:

• Violate any laws or regulations
• Infringe on anyone's intellectual property rights
• Upload viruses, malware, or malicious code
• Attempt to hack, disrupt, or compromise our Service
• Harass, abuse, or harm other users
• Use automated tools (bots, scrapers) without our permission
• Impersonate others or misrepresent your affiliation
• Use the Service for any commercial purpose without our consent

We reserve the right to suspend or terminate accounts that violate these terms.

Intellectual Property

Our Rights

GoodSpoon owns all rights to the Service, including the website, app, design, code, algorithms, content, logos, and trademarks. This is our intellectual property, and these Terms don't grant you ownership of any of it.

You're granted a limited, non-exclusive, non-transferable license to use GoodSpoon for personal, non-commercial purposes.

Your Rights

You retain ownership of any content you create or submit through GoodSpoon (like meal plans, preferences, or feedback). However, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and adapt that content to operate, improve, and provide our Service.

AI-Generated Content: Content generated by our AI (such as meal plan suggestions, recipe recommendations, and shopping lists) is owned by GoodSpoon. You receive a non-exclusive license to use AI-generated content for your personal, non-commercial purposes. You may not resell, redistribute, or use AI-generated content for commercial purposes without our permission.

Improving Our Service: By using GoodSpoon, you grant us the right to use your inputs, preferences, and feedback (in anonymous, aggregated form) to improve our AI algorithms and meal planning features. This helps us provide better recommendations for all users.

Third-Party Content: You represent that any content you submit doesn't infringe on third-party rights. You're responsible for obtaining necessary permissions for any recipes, images, or other content you upload.

Third-Party Services and Links

GoodSpoon may integrate with or link to third-party services (recipe sites, grocery stores, etc.). We're not responsible for those services or their content. Your use of third-party services is governed by their own terms and policies.

Disclaimers

GoodSpoon is provided "as is" and "as available" without warranties of any kind, express or implied.

While we work hard to make GoodSpoon reliable and useful, we don't guarantee that:

• The Service will be uninterrupted, error-free, or secure
• Results or information will be accurate or complete
• Defects will be corrected immediately

AI Service Limitations

Our AI-powered features have important limitations you should understand:

• AI Errors: AI systems can make mistakes, including hallucinations, inaccurate nutritional calculations, or inappropriate meal suggestions
• Not Tailored Medical Advice: AI recommendations don't account for individual medical conditions, medication interactions, or complex health needs
• Limited Understanding: Our AI may not fully understand nuanced dietary requirements, cultural food preferences, or regional ingredient availability
• Training Data Biases: AI models may reflect biases present in training data
• Your Responsibility: You're solely responsible for reviewing and approving all meal plans, recipes, and shopping lists before use

Allergen and Food Safety Disclaimer

Nutritional Information Disclaimer

Nutritional information provided by GoodSpoon is based on third-party databases, user-submitted data, and automated calculations. We do not independently verify nutritional content and cannot guarantee accuracy. Nutritional values may vary based on specific ingredients, brands, preparation methods, and portion sizes. Always verify nutritional information from original sources, especially if managing specific health conditions.

Limitation of Liability

To the maximum extent permitted by law:

• GoodSpoon and its team are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claims related to the Service is limited to the amount you paid us in the past 12 months (or $100 if you haven't paid us anything)

This limitation applies even if we've been advised of the possibility of damages.

Indemnification

You agree to indemnify and hold harmless GoodSpoon, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

Changes to the Service

We're constantly improving GoodSpoon. We may:

• Modify, suspend, or discontinue any part of the Service at any time
• Change or remove features
• Update pricing (with notice to existing users)

We'll do our best to communicate significant changes, but we're not obligated to maintain any particular feature indefinitely.

Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last Updated" date at the top. If we make material changes, we'll notify you via email or through the Service.

Continued use of GoodSpoon after changes means you accept the updated Terms.

Termination

You can stop using GoodSpoon anytime by closing your account. We can suspend or terminate your access if:

• You violate these Terms
• Your use poses a security risk
• You engage in fraudulent or illegal activity
• We're required to do so by law

Upon termination, your right to use the Service ends immediately.

Data After Termination: Following account termination, you have 30 days to request a copy of your data. After 30 days, we will delete or anonymize your personal information, except where we're legally required to retain it (e.g., for tax, legal, or regulatory purposes). You can request a data export at any time by emailing hello@goodspoon.io.

Survival: The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Disputes, and General Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions.

Jurisdiction and Venue: Any legal action or proceeding arising from these Terms or your use of GoodSpoon must be brought exclusively in the state or federal courts located in Utah County, Utah. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.

Small Claims Court: Either party may bring claims in small claims court if the claim qualifies and remains in small claims court.

Informal Resolution: Before filing any legal action, please contact us at hello@goodspoon.io to attempt to resolve the dispute informally. We're committed to working with you to find a reasonable solution.

General Terms

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and GoodSpoon
• Severability: If any provision is found unenforceable, the rest of these Terms remain in effect
• No Waiver: Our failure to enforce a right doesn't waive that right
• Assignment: You can't transfer your rights under these Terms. We can assign our rights to another company
• Force Majeure: We're not liable for delays or failures due to circumstances beyond our reasonable control
